Generally, no. A non-US founder does not need an ITIN merely to form a US LLC or before the LLC receives an EIN. The EIN identifies the business; the ITIN identifies an eligible individual for US federal tax purposes. An ITIN may become relevant later for a personal US tax return or another IRS-recognized reason. Company filings and the owner’s personal position remain separate.

The distinction is: EIN = business or entity. ITIN = eligible individual. Neither replaces the other.
Do You Need an ITIN to Form a US LLC?
State formation and federal taxpayer identification are separate. Wyoming’s current Articles of Organization request the LLC name, Registered Agent, addresses and organizer details—not an ITIN.
For a standard foreign-owned Wyoming LLC, an ITIN is therefore unnecessary for the state filing. Other states can request different information. See our Wyoming LLC formation overview.
Do You Need an ITIN to Get an EIN?
Not automatically. Current IRS Instructions for Form SS-4 say to enter “foreign” or “N/A” on line 7b when the responsible party has no SSN or ITIN and is ineligible for one. An entry remains required.

When Might a Non-US Founder Need an ITIN?

An ITIN may become relevant with a valid federal tax purpose when the individual cannot obtain an SSN. Examples include:
- filing an individual US federal return such as Form 1040-NR;
- reporting income, claiming a refund or claiming an allowable tax benefit on a federal return;
- claiming an eligible treaty- or withholding-related treatment;
- meeting a documented IRS exception to attaching a federal tax return; or
- another personal filing or reporting need identified by a qualified professional.
These examples do not mean every foreign owner must file. Residence, income source, US activity and treaty position can change the answer.

What If a Bank or Fintech Asks for an ITIN?
A bank, fintech, marketplace or payment provider may require an ITIN for a particular product or applicant. That provider rule does not prove IRS eligibility.
Verify two separate points:
- Does the provider genuinely require an ITIN for your exact situation?
- Do you have a valid federal tax purpose or documented W-7 exception?

Does Form 5472 Automatically Require the Owner to Have an ITIN?
A qualifying foreign-owned US disregarded entity may have to file Form 5472 with a pro forma Form 1120. That is an entity-level obligation.
Current Form 5472 asks for the foreign owner’s US identifying number “if any.” Its instructions provide for a consistent reference ID when none is entered. Form 5472 alone therefore does not universally force an individual owner to obtain an ITIN.

How Does an ITIN Application Work?

A typical application follows these steps:
- Confirm a valid application reason.
- Prepare Form W-7.
- Provide acceptable identity and foreign-status documents.
- Attach the relevant federal return unless a valid exception applies.
- Submit directly or work with an Acceptance Agent or Certifying Acceptance Agent.
- Wait for the IRS decision or respond to a request for more information.
The IRS currently says to allow seven weeks for notification, or 9–11 weeks during tax season or for overseas applications. These are not guarantees. See the IRS application guide.
Applying Through US LLC Setup

An ITIN does not:
- provide US immigration status or work authorization;
- create eligibility for Social Security benefits;
- replace the LLC’s EIN;
- make an LLC tax-free; or
- guarantee approval from any bank, fintech, payment provider or card issuer.
