These Terms & Conditions apply to the services offered through US LLC Setup, operated by Bosse LLC, a Wyoming limited liability company.
By requesting, purchasing or using our services, you agree to these Terms & Conditions.

  1. Nature of services

US LLC Setup provides practical setup support and administrative guidance for non-US founders interested in forming and organizing a US LLC.
Depending on the selected package, services may include:

• Wyoming LLC formation support
• Wyoming State Filing Fee
• Filing through Northwest Registered Agent
• Registered Agent service for the first year
• EIN application support for non-US residents without SSN
• Operating Agreement template
• Initial Resolutions template
• Document handover
• Banking readiness guidance
• Payment setup orientation
• Basic invoice and document structure orientation
• Email support for the period included in the selected package

The exact scope of services depends on the selected package and the written offer, checkout page, invoice or service confirmation.

  1. No legal, tax or accounting advice

Bosse LLC does not provide legal, tax or accounting advice.
All information provided through this website, by email, during calls or as part of the service is for general informational and administrative support purposes only.
Nothing provided by Bosse LLC should be understood as legal advice, tax advice, accounting advice or a substitute for advice from a qualified professional.
Clients are responsible for consulting qualified tax advisors, legal advisors or accountants in their country of residence and, where appropriate, in the United States.

  1. Client responsibility

The client is responsible for providing complete, accurate and truthful information required for the setup process.
This may include, but is not limited to:

• Full legal name
• Residential address
• Contact details
• Passport or identification information, where required
• Business activity description
• Ownership information
• Information required for LLC formation, EIN application or banking preparation

Bosse LLC is not responsible for delays, rejection, incorrect filings or other issues caused by incomplete, inaccurate or misleading information provided by the client.

  1. Third-party providers

The setup process may involve third-party providers, including but not limited to:

• State filing offices
• Registered Agent providers
• IRS
• Banks
• Fintech providers
• Payment providers
• Software platforms
• Email, booking or payment tools

Bosse LLC is not responsible for decisions, delays, rejections, policy changes, technical issues, fees or actions of third-party providers.

  1. No guarantee of approval

Bosse LLC cannot guarantee approval, processing times or acceptance by any government authority, bank, fintech provider, payment provider or third-party platform.
This includes, but is not limited to:

• Wyoming state filing processing
• EIN processing by the IRS
• Mercury account approval
• Wise account approval
• Stripe approval
• Payment provider approval
• Bank account opening
• Third-party verification or compliance checks

Banking and payment provider decisions are made solely by the respective provider.

  1. Payments and fees

The price of each package is displayed on the Pricing page or agreed separately in writing.
Payment is due before work begins, unless otherwise agreed in writing.
Prices may include certain third-party costs only where explicitly stated, such as Wyoming State Filing Fee or first-year Registered Agent service.
Any additional costs, renewals, optional services, third-party fees, bank fees, payment provider fees, currency conversion fees or future compliance costs are the responsibility of the client unless explicitly included in the selected package.

  1. Refunds, cancellations and withdrawal

Due to the administrative, personalized and time-sensitive nature of the services, payments are generally non-refundable once work has started.
For business clients, cancellations after payment do not entitle the client to a refund once Bosse LLC has started preparing, processing, filing or coordinating the requested service.
For consumers, statutory withdrawal rights remain unaffected where applicable. If the client is a consumer and expressly requests that Bosse LLC begins performing the service before the end of any applicable withdrawal period, the client acknowledges that the right of withdrawal may be lost once the service has been fully performed.
If the client cancels before work has started, Bosse LLC may, at its sole discretion, offer a full or partial refund minus payment processing fees and administrative preparation time.
Third-party fees, government fees, filing fees, Registered Agent fees, payment provider fees and any other external costs are non-refundable once paid, initiated or committed.
Bosse LLC may, at its own discretion, issue a refund, credit or partial refund in exceptional cases. Any such refund is voluntary and does not create a general right to refunds.

  1. Timelines

Bosse LLC will make reasonable efforts to process services in a timely manner.
However, timelines may depend on client response times, state filing offices, IRS processing, third-party providers, banking platforms, payment providers and other external factors.
Any timeline mentioned on the website, in emails or during calls is an estimate and not a guarantee.

  1. Email support

Email support is included for the period specified in the selected package.
Support is limited to technical, administrative and setup-related questions connected to the purchased package.
Email support does not include ongoing business consulting, legal advice, tax advice, accounting, bookkeeping, repeated strategic calls or services outside the package scope.

  1. Templates and documents

Operating Agreement templates, Initial Resolutions templates, checklists, guides and other materials provided by Bosse LLC are general templates and informational materials.
They may need to be reviewed or adapted by a qualified legal or tax professional depending on the client’s specific situation.

  1. Client compliance obligations

The client remains responsible for all ongoing compliance obligations related to their LLC, including but not limited to:

• Annual Report filing
• Registered Agent renewal
• Tax filings
• Local tax obligations in the client’s country of residence
• Accounting and bookkeeping
• Beneficial ownership or transparency filings, where applicable
• Updating company information when required
• Platform, banking or payment provider compliance

Bosse LLC may provide reminders or general guidance where included in the package, but responsibility for compliance remains with the client.

  1. Limitation of liability

To the maximum extent permitted by applicable law, Bosse LLC shall not be liable for indirect, incidental, consequential, special or punitive damages, loss of profits, loss of business opportunity, loss of account access, rejection by third-party providers, tax consequences or compliance failures resulting from the client’s use of the service.

Bosse LLC’s total liability shall be limited to the amount paid by the client for the specific service giving rise to the claim.

The content on this website is provided for general informational purposes only.
Bosse LLC makes reasonable efforts to keep information accurate and up to date, but does not guarantee that all information is complete, current or suitable for every individual situation.

  1. Intellectual property

All website content, texts, materials, templates, guides, checklists and service structures are the intellectual property of Bosse LLC unless otherwise stated.

These Terms & Conditions are governed by the laws applicable to Bosse LLC as a Wyoming limited liability company, unless mandatory consumer protection laws in the client’s country of residence provide otherwise.

  1. Changes to these Terms

Bosse LLC may update these Terms & Conditions from time to time.
The version published on this website at the time of purchase or service request applies unless otherwise agreed in writing.
