US LLC vs UK Ltd for Non-Residents: Setup, Banking and Business Fit
A Wyoming LLC can be a practical business base for a non-US consultant, agency or online business that wants to operate through a US company. A UK Ltd can be a stronger match when a UK company supports a specific commercial plan, such as a UK operating base or a customer’s procurement requirements. The right choice connects the company, its documents, the payment setup and the work that follows formation.
For a founder living abroad, that connection matters. You want to know who coordinates the setup, what you receive, how to prepare for business banking and what needs attention in the following year.
This US LLC vs UK Ltd for non-residents guide compares those practical decisions. It also explains the current UK identity-verification process and shows how the choice works for a solo consultant and a small online business.

Scope: a single-member Wyoming LLC owned by a non-US individual, without a corporate tax election, compared with a UK private company limited by shares owned by an individual living outside the UK. US LLC Setup provides Wyoming formation support. The examples are fictional; multiple owners, corporate shareholders and regulated businesses need their own assessment.

US LLC vs UK Ltd: the practical comparison
Both structures can support a legitimate international business. Their usefulness depends on what the company will do and the arrangements you put around it.
| What you need | Single-member Wyoming LLC | UK private Ltd |
|---|---|---|
| A business entity for international work | Relevant when a US company supports your contracts, sales and payment plans | Relevant when a UK company supports your operating or commercial plans |
| A coordinated formation process | Wyoming filing, Registered Agent, EIN support and company-document handover can be organized together | Incorporation, Registered Office, director/PSC verification, company records and tax-registration steps need coordination |
| An ongoing statutory presence | Active Wyoming Registered Agent | Appropriate UK Registered Office |
| A business payment setup | US banking and payment-provider options for eligible applicants | UK banking and payment-provider options for eligible applicants |
| A plan for the following year | Registered Agent renewal, Wyoming Annual Report and applicable federal reporting | Registered Office renewal, Confirmation Statement, annual accounts and applicable tax reporting |
| An understood tax position | US federal treatment normally follows the individual owner under the default disregarded classification | The Ltd normally has its own corporate tax position |
For an internationally focused solo business, Wyoming can offer a well-defined setup and renewal process. A UK Ltd deserves closer consideration when the UK location creates a concrete business advantage. The checks below help turn that distinction into a decision.
What your Wyoming LLC setup includes
US LLC Setup coordinates the essential formation work for non-US founders in a defined package. The service brings together several connected tasks:
| Included work | What it gives you |
|---|---|
| Wyoming formation, including the state filing fee | Preparation and submission of the company formation filing and the resulting state records |
| Registered Agent service for the first year | The required Wyoming contact for legal process and official correspondence |
| EIN application support without an SSN | Coordination of the company’s application for its IRS business identifier |
| Operating Agreement and Initial Resolutions templates | Core templates to organize the single-member company’s internal records |
| Organized document handover | A clear collection of company records, with the IRS EIN confirmation added once issued |
| Post-handover email support | A defined period for practical formation and document questions |
These steps give you a company foundation you can use when preparing contracts, invoicing arrangements and financial-provider applications. You retain the company records and know which task comes next.

Starter, Guided or Premium: choose the support you want
| Package | One-time setup price | Best suited to |
|---|---|---|
| Starter LLC Setup | €599 | Founders who understand their requirements and want the essential formation, first-year Registered Agent, EIN support, templates and document handover coordinated, with 7 days of email support |
| Guided Setup | €849 | Founders who also want personal onboarding, a review of their information before filing, Banking Readiness guidance, compliance reminders and 14 days of email support |
| Premium Launch | €1,190 | Founders who want closer banking-application preparation, payment and first-invoice orientation, a longer strategy call and 30 days of email support |
Guided Setup is our primary recommendation for founders who want personal preparation before and after formation. Its Banking Readiness guidance helps you organize the documents and information commonly requested for the next operational steps.
Starter focuses on the essential company setup. Personal onboarding and Banking Readiness are added in Guided; the closer banking and payment preparation belongs to Premium. See the complete package comparison for the current scope.
First-year setup and second-year planning
Compare the work included in each proposal
When comparing a Wyoming service with a UK Ltd provider, ask for the same level of detail. A useful proposal explains the formation work, statutory address arrangement, company records, support period and responsibilities after handover.
For the UK route, request a quote suited to an overseas owner. Clarify whether the provider handles director and PSC identity verification, Registered Office service, incorporation records and the practical tax-registration steps. Accounts and Company Tax Return preparation may require a separate accountant or service agreement.
This gives you a meaningful service comparison for the business you intend to run.
| Planning area | Wyoming route | UK route |
|---|---|---|
| First-year setup | Choose the package with the formation, EIN and support scope you need; first-year Registered Agent service is included in our packages | Obtain a written quote for non-resident incorporation, Registered Office, verification support, company records and handover |
| Following-year company maintenance | Plan Registered Agent renewal and the Wyoming Annual Report | Plan Registered Office renewal, the Confirmation Statement and annual accounts |
| Tax and bookkeeping work | Arrange the federal, state and owner-country work relevant to the actual business | Arrange Company Tax Return, bookkeeping and owner-country work relevant to the actual business |
| Banking and payments | Compare account features, transfer corridors, settlement currencies and usage charges for the proposed providers | Compare the same operational features for the proposed UK provider setup |
Your Wyoming renewal options
The initial setup price covers the formation package and the first Registered Agent service year. As renewal approaches, you can choose:
- Guided Renewal — €249 per year: continued Registered Agent service, a Wyoming Annual Report reminder, filing guidance, a basic data check and renewal support. The state License Tax is paid separately.
- Managed Renewal — €349 per year: the same Registered Agent continuation, with coordination and submission of the Wyoming Annual Report, filing confirmation and the standard minimum state License Tax included. If Wyoming-based assets create a higher state charge, the difference is additional.
Both are company-maintenance services. Federal tax preparation, bookkeeping and obligations where you live or operate require their own arrangements.
First-year filings and service renewals can follow different dates. Our annual-cost guide explains the recurring tasks; the pricing overview shows the current setup and renewal scope.
UK Ltd formation and identity verification
A UK Ltd can be owned and directed from abroad. Directors do not have to live in the UK, while the company needs a qualifying UK Registered Office and the required company information.
The formation process identifies the directors, shareholders, share capital, people with significant control (PSCs), business activity and company addresses. Constitutional documents and the practical Corporation Tax registration steps also belong in the setup plan. See the official UK formation guide.
Identity verification is part of the current process
Mandatory Companies House identity verification began on November 18, 2025. For a new company, prepare the Companies House personal code for each director as part of incorporation.
You can verify through the GOV.UK One Login service or an Authorised Corporate Service Provider (ACSP). A biometric passport from any country is one supported type of photo ID for the direct service; available routes depend on the person’s documents and circumstances. An ACSP can verify a client from abroad. Use the official verification overview and accepted-document guidance.
Director and PSC are separate roles. Someone newly added as a PSC can supply their personal code when added or within 14 days. If you are both director and PSC, connect your verified identity to each role through the relevant filing or service.
Existing-role deadlines differ. At this article’s November 4, 2026 review date, the initial transition period remains relevant; check the individual’s dates using the Companies House timing guidance.
Include verification in the formation plan so the company filing and ownership records can move forward in the correct sequence. The bank or payment provider will conduct its own checks separately.

Registered Agent vs Registered Office
A Wyoming Registered Agent receives service of legal process and official correspondence at a physical Wyoming address. It is part of the company’s ongoing statutory arrangement. The Wyoming Secretary of State explains the role.
A UK Registered Office must be an appropriate physical address in the UK jurisdiction where the company is incorporated, with arrangements for receiving official post. It is publicly visible. See the Companies House address requirements.
For either route, clarify which correspondence the subscription covers and how scanning, forwarding or original documents are handled. A director’s UK service address can be a separate service.
Your actual working location is another piece of information. When applying for a financial account, provide the real operating address requested by that provider. Our Registered Address vs Trading Address guide explains how the statutory address and day-to-day business location fit together.
Banking, Stripe and international payments
Start with how your business receives and spends money
The company should support the payment route you intend to use. A consultant may need reliable business transfers in USD and EUR. A subscription business may need card billing, recurring payments and a suitable payout account. A UK-focused operation may benefit from GBP receiving details and local payment methods.
Compare the actual account and processor combination: owner-residence eligibility, business activity, accepted addresses, settlement currencies, transfers, cards and ongoing usage costs.
US-company banking options
Mercury accepts applications from eligible US companies with international founders. Its requirements include existing or planned US operations, source-of-funds information and a physical principal business address. That operating address can be outside the US; a Registered Agent address does not qualify for that particular field. Country and industry restrictions apply.
For a business that genuinely fits those requirements, a Wyoming LLC can provide the relevant US entity. Mercury is a fintech whose banking services are provided by partner banks. A UK Ltd alone does not meet its US-formation requirement.
Our US banking guide for non-residents explains the wider preparation.
Multi-currency accounts and Stripe
Wise distinguishes the registered address from the actual trading address. Its guidance allows the addresses to be in different countries, with a genuine physical trading address in a supported country. Check the exact combination of entity, residence, activity and features for either route.
Stripe supports both the US and UK. Its cross-border account guidance explains the entity, tax ID, address, contact, identity, website and payout requirements, including exceptions. Review the actual onboarding rules for your intended setup before relying on a particular account configuration.
What Banking Readiness adds to your setup
Banking Readiness helps you organize the company and owner documents, describe the activity clearly, distinguish the addresses and prepare a consistent set of information for your application.
That is why it is included in Guided Setup. Premium Launch adds closer application preparation and review where possible, together with payment and first-invoice orientation. The financial provider makes its own approval decision.
For the US payment setup, our Stripe guide for non-resident LLC owners provides the detailed checklist.
Annual administration and the tax distinction
Wyoming: a clear company-maintenance process
Maintain the Registered Agent, keep the company information current and calendar the Wyoming Annual Report. The report is due on the first day of the formation anniversary month. Its License Tax depends on Wyoming’s statutory calculation. Use the official annual-report guidance.
Federal reporting is a separate task. A foreign-owned disregarded LLC with reportable related-party transactions generally needs Form 5472 attached to a pro forma Form 1120. Owner contributions and distributions can be relevant. Arrange a filing assessment and retain the supporting records using the IRS instructions.
Under FinCEN’s current BOI rules, US-created entities are exempt from federal BOI reporting. Bank and payment-provider ownership checks continue separately.
For a straightforward international service business, this can provide a focused company-administration structure when the owner’s wider obligations have been assessed.
UK: accounts and company filings belong in the annual plan
A standard active UK Ltd normally needs a Confirmation Statement, annual accounts and the applicable Company Tax Return. The usual filing calendar separates these jobs:
| Task | Usual timing |
|---|---|
| Confirmation Statement | Review at least every 12 months; normally file within 14 days after the review period ends |
| First Companies House accounts | Usually 21 months after incorporation |
| Subsequent annual accounts | Usually 9 months after the financial year ends |
| Corporation Tax payment | Usually 9 months and 1 day after the tax accounting period ends |
| Company Tax Return | Usually 12 months after the tax accounting period ends |
Use the official accounts and tax-return guidance and Confirmation Statement guidance. First-year accounting periods and other circumstances can change the work required.
The former joint HMRC/Companies House online service closed on March 31, 2026. Ask whether your accountant’s service includes the software and filing work described in HMRC’s replacement guidance.
The company and owner tax positions need to fit together
A UK Ltd is normally a separate corporate taxpayer. UK incorporation generally creates UK tax residence, subject to exceptions including treaty rules, and a UK-resident company is generally taxed on worldwide profits. The overseas residence of its shareholder does not by itself change that. See HMRC’s residence guidance and Corporation Tax overview.
The IRS normally treats a single-member US LLC as disregarded for federal income tax unless it elects corporate treatment. The LLC remains a company formed under state law. The owner’s tax position, income category and any US business connection matter. For personal services, the IRS generally looks to where the work is performed; software and other income need their own analysis.
Before formation, ask a qualified adviser how each option is classified where you live, how your work and management are treated, and how profits or owner payments are reported. Include relevant social-security, VAT/sales-tax and local registration questions. Our European country checks help prepare that discussion.
Two examples: consultant and small online business
Solo consultant: one organized company foundation
Elena lives in Spain and provides remote CRM implementation to US and European clients. She wants the same company to appear on contracts and invoices, receive business payments and pay business software expenses.
Her goal is a dependable US company setup for the way she already works internationally. She first clarifies the Spanish treatment with her adviser and identifies a suitable payment route.
Why Wyoming fits her plan: the company provides the legal business name and formation records; the EIN application and core documents are coordinated; her company records are handed over in an organized form. She can then use that information consistently in contracts, invoices and financial-provider applications.
Why Guided fits her support needs: Elena wants personal onboarding, review of her company information and Banking Readiness guidance alongside the formation work. Guided Setup brings those steps together. A founder who already has the preparation covered can choose Starter’s more focused formation scope.
A UK Ltd would become more relevant if Elena had a concrete UK operating or contracting reason. Having a customer in one country does not by itself determine the company she should form.
Small online business: company, subscriptions and payments aligned
Sam lives outside the US and UK and sells a B2B scheduling tool to international customers, including a planned US market. The business needs a legal seller on the website, recurring billing, a suitable payout account and records that connect customer payments to processor settlements.
Why Wyoming can fit: a US company supports the commercial direction, the prospective providers support Sam’s circumstances, and the single-owner structure fits the operating plan. The formation, Registered Agent, EIN support and core records can be coordinated through one setup package.
Which support level fits: Guided covers personal onboarding and Banking Readiness. Sam compares Premium Launch if closer banking-application preparation, payment orientation and first-invoice support are valuable at launch. The package overview sets out that difference.
When a UK Ltd becomes stronger: Sam is building a genuine UK operation or a UK company meets a specific partner or customer requirement, and the accounting and tax treatment supports the overall plan.
The next practical task for either route is to align the website’s legal seller, customer terms, processor information and payout records. Our SaaS founder guide develops that preparation.
Five questions to choose your business base

- Business fit: What will the US or UK company help you do commercially?
- Setup scope: Which formation tasks, documents and support are included?
- Payment readiness: Can the intended providers support your real business and location?
- Ongoing responsibilities: Who coordinates renewal, records and the required filings?
- Personal support: How much guidance do you want before and after formation?
Choose Wyoming when those answers support a US company and a coordinated formation process suits your business. Consider the UK Ltd when a UK company adds a specific commercial advantage and its annual administration fits the plan.
Local tax treatment remains part of the pre-formation assessment for both options. If you expect investors, several owners, employees, inventory or regulated activity, include those facts in a structure-specific review.
